A Special Purpose Vehicle (SPV) is a separate legal entity created to isolate financial risk, hold specific assets, or execute a single transaction. A Restricted Purposes Company (RPC) is a related structure whose activities are constitutionally limited by its memorandum to a defined set of purposes. In the UAE both sit inside the common law financial centres: ADGM issues them as SPVs and Restricted Scope Companies, DIFC as Prescribed Companies.
Both are passive, non-operational entities. They do not trade, invoice, or run day-to-day business. They exist to hold assets, manage investments, or ring-fence liability, which makes them a core tool for holding structures, family offices and wealth planning.
Consultycs builds these vehicles for founders, investors and families who need an asset kept legally separate from everything else they own. We work out which structure fits, prepare documentation that the registrar and your bank will both accept, and handle registration from start to finish.

We establish whether an SPV or an RPC actually fits what you are trying to do, before anything is filed.

Documentation, registration and bank account opening run as one process instead of three separate ones.

Files prepared to the standard banks expect, which is the stage where most applications stall.

ESR, AML and UBO obligations managed together, so nothing is left unowned after incorporation.
